Among their expertise are structuring, negotiating, and documenting public finance transactions, such as public-private partnerships and tax-exempt financings. They also advise clients on securities matters, compliance with federal and state securities laws, and the legal aspects of municipal derivatives.
Lawyers at their firm have extensive experience helping sovereign and sub-sovereign governments access Eurobonds and US municipal securities. They help advise clients issue bonds, notes, certifications and other obligations, including acting as bond counsel, disclosure counsel, special tax counsel and general counsel. Additionally, they provide tax-exempt status advice, both during negotiated and competitive sales, as well as with primary market and post-issuance disclosures. The team often act as counsel to the underwriters, credit enhancers, liquidity providers and swap and other derivative providers, representing all types of commercial and investment banks and dealers in both public offerings and private placements, and with compliance.
