Executive Compensation and Employee Benefits Associate/Senior Associate – New York

Our client, a fantastic Californian firm who has recently expanded internationally, is seeking a mid-level/Senior Associate (2016-2020) in its growing ECEB team in New York. This is a strategic, planned hire from a very cash-rich firm. There is no ‘last one in, first one out’ culture.

The team counsels clients across the country on executive compensation and benefits issues. In particular, it regularly advises clients with respect to the design and implementation of equity-based and non-equity based annual and long-term incentive arrangements, non-qualified deferred compensation and retirement plans, employment, severance, and change-in-control arrangements, the securities laws and related disclosure requirements applicable to these arrangements, and the taxation of these arrangements.

The team regularly advises clients on compensation and benefits issues in the context of mergers and acquisitions, public offerings, private equity investments, restructurings and other corporate transactions. The team also advises boards of directors in addressing shareholder activism and shareholder advisory firm opinions on executive compensation topics, executive succession and transition issues, and related corporate governance matters.

The ideal candidate will have experience in:

  • drafting and analyzing equity and non-equity incentive compensation arrangements, deferred compensation arrangements, employment agreements, and severance and change in control arrangements,
  • preparing the compensation and benefits-related portions of securities filings required by the SEC, and
  • identifying and solving executive compensation and benefits related issues that arise in the context of mergers and acquisitions, private equity investments, and other corporate transactions

Candidates must be licensed in the State in which they are applying.
