ECEB Associate – New York

Annual salary: $260,000 – $365,000

We are looking to speak with New York-licensed executive compensation and employee benefits associate attorneys to join our client’s stellar team in New York.

This is an opportunity to represent clients in the intricate issues relating to mergers, acquisitions, and other transactions. You will advise public and private companies, as well as private equity sponsors, in all phases of complex corporate transactions.

You will also advise sellers on how to protect their benefit plans, executives, and employees before and after an acquisition, and advise buyers on avoiding unwanted liabilities, retaining key employees, and transitioning benefit plans in a merger or acquisition.

This team are skilled and go-to counsel in analyzing defined benefit pension plans and other benefit and executive compensation programs for hidden liabilities, especially with the increasing number of underfunded defined benefit plans, companies that have unfunded top hat and supplemental arrangements, and retiree health and/or multiemployer pension plan (MEPAA) liabilities.

If you are looking to focus your practice on representing private equity clients and public companies in acquisitions, divestitures, and restructurings within the U.S. and cross-border, this is an excellent opportunity.

You will advance your practice structuring LLC profit interests as management incentives; negotiating limited liability company, shareholder, and employment agreements; counseling compensation, pension, and savings plan committees; advising on issues relating to Internal Revenue Code Section 409A compliance for domestic and foreign plans; designing executive compensation and nonqualified plan agreements; and counseling with respect to corporate governance matters.
