We are looking to speak with a highly skilled and experienced corporate securities attorney to join our client’s practice in their Boston office.
Across the U.S., U.K., and Europe, our client’s corporate team represents businesses at all stages of development, including start-ups, emerging growth companies, multi-national public companies, and large institutional private businesses. They also represent and work closely with the investment banking community and private equity, venture capital, and hedge funds.
The ideal candidate will have 6+ years of significant experience in corporate securities matters. You will be able to lead ’34 Act compliance and ’33 Act securities work, along with experience focused on corporate governance, including but not limited to; periodic reporting, proxy issues, registered offerings, Rule 144, private offering exemptions, Section 13 and Section 16 issues, exchange listing requirements, debt and equity financings, Rule 144A deals, familiarity with executive compensation and ESG matters and experience supporting the securities and transactional aspects of Chapter 11.
You will represent domestic and foreign corporations, partnerships, and limited liability companies in their mergers and acquisitions, other business and financial transactions, and in their day-to-day operations. You will have broad-based experience in structuring transactions, drafting and negotiating various transactional documents in connection with asset sales and acquisitions, stock acquisitions, mergers, private placements, venture capital transactions, hedge funds, and lending transactions.
Annual salary range: $350,000 – $400,000
